Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products, services, and website provided by EZAIX Inc. ("EZAIX," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Acceptance of Terms

By creating an account, accessing our platforms, or using any EZAIX service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

EZAIX provides enterprise AI platforms designed for Microsoft environments, including but not limited to:

• VoiceCoreIQ: Enterprise voice AI for contact centers with real-time transcription, translation, sentiment analysis, and compliance recording
• TeamsCoreIQ: Teams Phone observability, AI-driven root cause analysis, policy governance, and migration orchestration
• NetmonIQ: Converged UC and network monitoring with per-hop call analytics and AI anomaly detection
• Copilot License Accelerator: License intelligence, automated chargeback, and department-level ROI tracking for Microsoft Copilot
• ezAgents: Modular AI agent suite including Helpdesk+, Licensing Agent, and Executive Agent

All platforms are deployed within your Microsoft Azure tenant and are subject to the specific service agreement executed between EZAIX and your organization.

3. Account Registration and Security

To access certain features of our services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

4. Intellectual Property

All intellectual property rights in EZAIX products, services, software, documentation, trademarks, logos, and content (collectively, "EZAIX IP") are and shall remain the exclusive property of EZAIX Inc. Nothing in these Terms grants you any right, title, or interest in EZAIX IP except as expressly stated in your service agreement.

You retain all rights to your data processed through our platforms. EZAIX does not claim any ownership interest in your data.

5. Azure Marketplace Terms

If you purchase or subscribe to EZAIX services through the Microsoft Azure Marketplace, these Terms are supplemental to Microsoft's Azure Marketplace Terms of Use and applicable Publisher Agreement. In the event of a conflict between these Terms and the Azure Marketplace terms regarding marketplace transactions, the Azure Marketplace terms shall prevail for those specific provisions.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to our systems, other users' accounts, or data
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our software
• Use our services to transmit malware, spam, or other harmful content
• Interfere with or disrupt the integrity or performance of our services
• Sublicense, resell, or redistribute our services without prior written authorization

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EZAIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EZAIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless EZAIX and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content or data you submit through our platforms

9. Termination

Either party may terminate these Terms by providing written notice in accordance with the specific service agreement. EZAIX may suspend or terminate your access to our services immediately if:

• You breach any provision of these Terms
• You fail to pay applicable fees when due
• We are required to do so by law or regulatory authority
• We reasonably believe your use poses a security risk

Upon termination, your right to access and use our services will cease. We will provide reasonable assistance in exporting your data in accordance with your service agreement.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Ventura County, California, and you consent to the personal jurisdiction of such courts.
